Our process

At Flair Capital, we advise companies and owners throughout the entire transaction process, whether the objective is growth capital, a partial sale, or a full sale. Based on our Seven Steps framework, we create a structured and transparent process from the initial considerations through to completion of the transaction.

We begin by understanding the company, the management team, and the objective of the transaction, ensuring that the right foundation is in place. We then prepare the relevant materials and engage in targeted dialogue with selected investors or buyers.

Once the key terms have been established, we support the negotiation process and the subsequent due diligence phase. The process concludes with the preparation and signing of the final transaction documents.

Experience from both sides of the table

Flair Capital is built on practical experience from founding, developing and selling companies. Søren Christiansen was, among other things, co-founder of the outplacement company AS3 and the last-mile delivery company OSUMA, while Jakob Fuhr Hansen has founded and sold several companies within ICT, energy and real estate.

When an owner-manager is considering a sale, a capital raise or a succession process, the decision is rarely only about the process itself. It is also about timing, organization, responsibility, the owner’s future role and the company’s continued development. Flair Capital draws on experience from its own ownership journeys when preparing both the company and the owner for the process.

Both partners have worked with companies from the investor side. Jakob Fuhr Hansen has worked with growth investments as a partner at Vækstfonden and as co-founder of the investment fund Nordic Alpha Partners, with a focus on investments in technology and sustainability companies. Søren Christiansen has invested in and served on the boards of growth companies such as Mobaro, Temponizer, Hungry and MoreMusic.

In a capital raise or transaction, it is essential that the company can present its business clearly and credibly. This includes the market, growth plan, management team, earnings, risks and capital requirement. Experience from the investor side is therefore used to prepare the company for the questions, assessments and investment criteria it can expect to encounter in dialogue with investors or buyers.

A sale, capital raise or succession process is both a strategic process and an ownership decision. The company must be presented clearly to investors or buyers, while the process must also take into account the owner’s objectives, future role, employees and the company’s continued direction.

With experience from their own ownership journeys, investments and board work, Flair Capital addresses both dimensions of the process. The objective is to prepare the company commercially and financially, while ensuring that the matters important to the owner and the company are considered from the outset.
